Terms & Conditions
- Payment Terms: Upon Receipt unless otherwise noted on proposal or account setup.
- Standard Terms: All sales by OPACS (Seller) are made subject to each of the terms and conditions and may be modified without written consent from the Buyer.
- Deposit & Payment: All orders require a 100% due upon order, unless otherwise noted.
- Taxes: All applicable taxes will be added to the invoice. A Certificate of Exemption is to be provided prior to ordering if the Buyer is claiming exemption from taxes.
- Changes, Cancellations and Returns: Please see separate Return Policy.
- Delay: Seller is not responsible for shipping delays. No costs shall be incurred by Seller due to failure to deliver product on specified day if failure to deliver is outside the Seller’s control.
- Freight: All freight costs not included in the price of the product shall be invoiced and paid by the Buyer. If required, freight charges will be determined at time of shipping.
- Limitation of Warranties: Seller issues no warranties for any product. Seller agrees to repair, replace or refund the same for any defective product within one month of initial delivery, unless required by the manufacturer to let them settle with the Buyer. Product warranties are held by the manufacturer. All claims are the responsibility of the Buyer.
- Delivery Conditions: Buyer agrees to the following conditions and is responsible for any costs required to implement:
a) Access: Doorways, openings and elevators shall be sufficient to allow delivery without necessity of dismantling.
b) Services: Electricity, cooling, lighting, elevator, or hoisting service shall be furnished by the Buyer. Parking and adequate facilities for off-loading, staging, moving, and handling of product shall also be provided,
c) Hours of Delivery: Delivery site shall be open and available for delivery of product during normal business hours, Monday-Friday 8:00 am-5:00 pm. Labor costs to provide services outside these hours will be invoiced to the Buyer at standard overtime rates.
d) Shipping: Buyer accepts responsibility to inspect product shipped to Buyer directly from the manufacturer, to note damages on bill of lading and to notify carrier of damage within 24 hours of delivery. Any such damages will not excuse Buyer of responsibility for payment of invoice in accordance of payment terms.
e) Damage After Delivery: Any loss or damage to product after delivery to the Buyer’s location shall be the responsibility of the Buyer regardless of cause. - No Other Agreements: There are no agreements between Seller and Buyer other than those outlined in this agreement.
